Community Financial Institutions Mergers and Acquisition
FOCUS bankers are experienced in all phases of the M&A process and can provide services including market analysis, financial analysis, capitalization structure, due diligence, memorandum preparation, structuring of transactions, negotiating, and closing financial terms tailored to the Community Bank’s need and capital market demands.
In a middle market acquisition transaction representing potential acquirers, the firm provides assistance in the initial strategic planning stages by helping the client identify the best targets and options. We assist our middle market financial institution clients in evaluating their alternative strategies including internal growth, merger, acquisition, and/or strategic partnering. FOCUS bankers put their contact network to work on the client's behalf, quietly and discreetly, in order to preserve confidential relationships and reputations.
When representing sellers in a middle market merger or acquisition, the firm assists its clients in operating from a position of strength. By working closely with the client's senior management team, we assist in developing a business plan and a forecast that provides an optimal valuation. FOCUS bankers will discreetly contact only selected qualified buyers in order to maximize price, improve terms, and quickly complete the M&A transaction.
If the transaction requires additional capital, FOCUS can access our extensive network of equity and debt sources. Because our bankers are all highly experienced, "hands-on" operating veterans, we also can assist with the post-M&A integration process.
